Terms of Service

In these Terms, "Winkiloo", "we", "us" and "our" refer to the operator identified above. "User", "you" and "your" refer to any person or organisation accessing or using the Service.

2. What Winkiloo Does

Winkiloo is a creator-support platform designed to help creators discover content, receive feedback, analyse channels and videos, collaborate with other creators, manage promotional campaigns, access creator tools and obtain data-driven and AI-assisted recommendations.

Depending on your plan and location, the Service may include features such as:

Creator profiles and public creator pages.
YouTube channel and video management.
YouTube account ownership verification.
Authorised YouTube Analytics integrations.
Video discovery and promotion campaigns.
Creator feedback and review tools.
Creator messaging and collaboration tools.
Channel and video analytics.
Growth reports and performance insights.
AI-assisted analysis and recommendations.
Thumbnail, title, content and optimisation tools.
Creator Credits.
Subscription plans and paid features.
Referral and affiliate programmes.
Notifications and email reports.
Other creator tools introduced from time to time.

Features available to you may depend on your subscription plan, account status, country, connected services and technical availability.

3. Relationship With YouTube and Google

Winkiloo is an independent service and is not YouTube, Google or an affiliate, subsidiary, representative or agent of YouTube or Google.

YouTube and Google names, logos, trademarks and services belong to their respective owners.

Certain Winkiloo features use YouTube API Services and Google authentication or authorisation services. When you connect a Google or YouTube account, your use of those services remains subject to Google's and YouTube's applicable terms and policies, including the YouTube Terms of Service .

You are responsible for ensuring that your use of Winkiloo and your YouTube channel complies with YouTube's Terms of Service, Community Guidelines, API policies and other applicable policies.

Winkiloo cannot guarantee that actions, traffic, views, analytics, subscriptions, interactions or other activity will be recognised, counted, monetised or accepted by YouTube.

4. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create a paid Winkiloo account.

If you use Winkiloo on behalf of a company, organisation or other legal entity, you represent that you have authority to bind that entity to these Terms.

You may not use the Service if you are prohibited from doing so under applicable law.

5. Account Registration

Some Winkiloo features require an account. When registering, you agree to provide accurate, current and complete information.

You are responsible for:

Maintaining the confidentiality of your login credentials.
Using a secure password.
Keeping your email address and account information current.
All activity performed through your account unless caused by a security failure attributable to Winkiloo.
Promptly notifying us if you believe your account has been compromised.

You may not sell, rent, transfer or share your Winkiloo account with another person without our permission.

We may require email verification, additional authentication or other reasonable security measures.

6. Creator and Channel Ownership

You may only claim, verify or manage a YouTube channel through Winkiloo if you are the channel owner or have sufficient authority from the owner to do so.

Winkiloo may use Google OAuth or other verification mechanisms to confirm channel ownership or authorised access.

Attempting to impersonate another creator, falsely claim ownership of a channel, misrepresent your relationship with a creator, or bypass ownership verification is prohibited.

7. Google and YouTube Account Connections

Certain features require you to authorise Winkiloo to access specific Google or YouTube account data.

Winkiloo will request only the permissions necessary for the relevant functionality. The types of data accessed, purposes of processing, retention practices and methods for disconnecting your account are described in our Privacy Policy.

You may revoke Winkiloo's Google account access through your Google account settings or through Winkiloo where such functionality is provided.

Revoking access may cause connected features, analytics or reports to stop functioning.

8. Creator Discovery, Promotions and Engagement Integrity

Winkiloo is intended to support genuine creator discovery, audience research, feedback and collaboration. It is not intended to manufacture, falsify or manipulate engagement metrics.

Winkiloo does not sell or guarantee YouTube views, subscribers, likes, comments, watch time, monetisation eligibility, search position, recommendation placement or channel growth.

You must not use Winkiloo to:

Artificially inflate YouTube views, likes, comments, subscribers or other metrics.
Operate or participate in "sub4sub", "like4like" or equivalent engagement exchanges.
Require another user to subscribe, like or comment in return for equivalent engagement.
Use bots, automated viewers, scripts, click farms or fraudulent traffic.
Force, deceive or mislead users into interacting with YouTube content.
Purchase, sell or exchange artificial YouTube engagement.
Use Creator Credits or other Winkiloo features to circumvent YouTube rules.
Manipulate campaign completion systems or engagement verification.
Create multiple accounts to generate artificial activity.
Misrepresent organic engagement generated through your channel.

Campaign and discovery functionality may expose content to other users or record in-platform interactions for legitimate service functionality. Such activity does not guarantee that YouTube will recognise any interaction as a valid view, valid watch time, valid subscriber action or monetisable activity.

Users must independently decide whether they genuinely wish to interact with content.

Winkiloo may suspend campaigns, remove credits, reject activity or restrict accounts where we reasonably believe engagement manipulation, automation, fraud or policy abuse has occurred.

9. Creator Credits

Winkiloo may provide an internal platform unit referred to as "Creator Credits".

Creator Credits may, depending on the Service, be purchased, included with a plan, awarded through promotions, provided through referrals, or earned through eligible Winkiloo activities.

Creator Credits are not legal tender, electronic money, cryptocurrency, a bank deposit or an investment product. Unless expressly required by applicable law or specifically stated by Winkiloo, Creator Credits:

May only be used for eligible Winkiloo features.
Cannot be exchanged for cash.
Cannot be transferred between users unless Winkiloo expressly provides that feature.
Have no independently guaranteed monetary value.
May be subject to plan-specific or promotional conditions disclosed when granted.

Any validity period, expiry rule or other material restriction applicable to purchased Creator Credits will be disclosed before purchase where required.

Promotional, bonus or referral Creator Credits may be subject to separate campaign rules disclosed when they are issued.

We may correct credit balances resulting from technical errors, duplicate transactions, fraud, chargebacks or misuse.

We will not remove valid purchased Creator Credits in a manner that overrides mandatory consumer rights.

10. Free Trials

Winkiloo may offer free or extended trials to eligible users.

Trial length and included functionality may vary depending on the registration method, invitation, referral, promotional campaign or plan.

The duration and conditions of a trial will be displayed when the trial is offered.

Unless clearly disclosed before activation, a free trial will not automatically create a paid obligation without the user's required consent.

We may limit trials to one per person, organisation, payment method or other reasonable identifier where necessary to prevent abuse.

11. Subscription Plans

Some Winkiloo functionality requires a paid subscription.

Available plans, included features, usage limits, AI allowances, Creator Credit allocations, billing intervals and current prices are shown on the Pricing page or during checkout.

Your subscription begins when payment is successfully completed or on another date expressly stated during checkout.

Unless otherwise stated, recurring subscriptions renew automatically for the applicable billing period until cancelled.

Before completing a paid order, you will be shown the material characteristics of the plan, total price, billing frequency and other information required by applicable law.

12. Payments

Payments may be processed by third-party payment service providers such as Stripe, PayPal or other providers displayed during checkout.

Winkiloo generally does not receive or store complete payment-card credentials where payment processing is handled directly by a payment provider.

You authorise the applicable payment provider to charge the amount displayed during checkout.

Prices, applicable taxes and the final amount payable will be displayed before you complete your purchase.

If payment fails, is reversed or is subject to a chargeback, access to paid features may be limited or suspended after any notice or grace period required by law.

13. Subscription Cancellation

You may cancel a recurring Winkiloo subscription through the account or billing functionality provided by Winkiloo.

Unless otherwise required by law, cancellation normally prevents the next renewal and your paid plan remains available until the end of the already-paid billing period.

Consumers will also be provided with any electronic cancellation functionality required by applicable German or European consumer law.

Cancellation of a subscription does not automatically delete your Winkiloo account.

14. Consumer Right of Withdrawal

If you are a consumer located in Germany or another jurisdiction granting a statutory withdrawal right for distance contracts, you may have a legal right to withdraw from an eligible contract within the statutory withdrawal period.

Where German consumer law applies, the statutory withdrawal period is generally fourteen days, subject to the applicable legal requirements and exceptions.

Information concerning your withdrawal rights, the applicable deadline, consequences of withdrawal and any model withdrawal form will be provided separately where required.

Where required by law, Winkiloo will also provide an electronic withdrawal function through the Website.

Nothing in these Terms limits any mandatory statutory withdrawal rights.

15. Refunds

Except where required by applicable law, expressly offered by Winkiloo, or stated during checkout, fees already charged for completed billing periods are generally non-refundable.

This rule does not affect statutory consumer rights, including withdrawal rights, remedies for defective digital services or other mandatory refund rights.

If you believe you were charged incorrectly, please contact support@winkiloo.com.

16. AI Features

Winkiloo may provide features powered by artificial intelligence or machine-learning services.

AI features may include:

Channel analysis.
Video analysis.
Growth reports.
Content suggestions.
Title or description recommendations.
Thumbnail concepts or recommendations.
Translation.
Feedback summaries.
Other automated recommendations.

AI-generated information may be incomplete, inaccurate, outdated, inappropriate, non-unique or unsuitable for your specific circumstances.

You are responsible for reviewing AI-generated output before using, publishing or relying on it.

Winkiloo does not guarantee that AI-generated recommendations will increase views, subscribers, revenue, engagement, rankings or channel performance.

You must not rely on AI output as legal, financial, medical or other regulated professional advice.

Certain AI functionality may use third-party AI service providers. Relevant processing of user information is described in our Privacy Policy.

17. User Content

"User Content" means information or material submitted, uploaded, posted or otherwise provided through Winkiloo, including:

Creator biographies.
Profile images and banners.
Reviews.
Video testimonials.
Feedback.
Messages.
Collaboration listings.
Text, images or files.
Other creator-provided materials.

You retain ownership of your User Content.

By providing User Content to Winkiloo, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, technically modify, transmit and, where requested or necessary for the Service, translate that User Content solely for the purposes of operating, providing, securing, promoting and improving Winkiloo.

This licence ends when the relevant User Content is deleted, except where continued retention is reasonably necessary for backups, legal compliance, fraud prevention, dispute resolution or other lawful purposes.

You represent that you have the necessary rights and permissions to provide your User Content and allow Winkiloo to use it as described above.

18. Reviews, Testimonials and Feedback

Winkiloo may allow users to publish reviews, ratings, testimonials or feedback.

Reviews must reflect genuine experiences and must not be fabricated, purchased, manipulated or submitted in exchange for undisclosed compensation.

You must not submit:

False or misleading reviews.
Defamatory or unlawful statements.
Threats, harassment or hate speech.
Private information belonging to another person.
Copyright-infringing material.
Spam or unrelated advertising.
Content generated for the purpose of manipulating ratings.

We may moderate or remove content that violates these Terms or applicable law.

19. Public Creator Profiles

If you create or enable a public creator profile, information designated as public may be visible to anyone and may be indexed by search engines.

Public information may include your creator name, profile image, banner, channel information, niche, language, country, reviews, public statistics, collaboration information and other information you choose to make public.

Please do not place confidential or sensitive information in public profile fields.

20. Messaging and Collaboration

Winkiloo may allow creators to communicate or collaborate with one another.

Winkiloo is not a party to independent agreements made between users unless expressly stated otherwise.

Users are responsible for evaluating potential collaborators and determining the commercial, legal and practical terms of any collaboration.

You must not use messaging functionality for spam, harassment, fraud, unlawful solicitation or distribution of malicious content.

21. Referral and Affiliate Programmes

Winkiloo may provide referral or affiliate programmes under which eligible users can receive Creator Credits or other rewards.

Additional conditions, qualification requirements and reward amounts may be displayed on the relevant referral or affiliate page.

Referral rewards may be refused or reversed where registrations, purchases or other qualifying events result from fraud, self-referral, duplicate accounts, chargebacks, automated activity or other abuse.

Participants are responsible for complying with advertising, disclosure and tax obligations that apply to their referral or affiliate activity.

22. Prohibited Conduct

You may not use Winkiloo to:

Violate applicable law or regulation.
Violate YouTube, Google or another third-party platform's applicable rules.
Artificially manipulate engagement metrics.
Commit fraud or misrepresent your identity.
Impersonate another creator, company or person.
Infringe intellectual property rights.
Upload malware, viruses or malicious code.
Attempt unauthorised access to Winkiloo systems.
Probe, scan or test system vulnerabilities without written permission.
Bypass usage, plan, rate or credit limitations.
Use automated scraping, bots or scripts except where expressly permitted.
Interfere with platform operation or security.
Create accounts for abusive, deceptive or fraudulent purposes.
Harass, threaten or abuse another user.
Distribute spam.
Upload unlawful, hateful, defamatory or infringing material.
Collect personal data from users without a lawful basis.
Resell the Service without our written permission.
Reverse engineer or attempt to obtain non-public source code except where such restriction is prohibited by law.

23. Content Moderation and Reports

Users may report content or conduct that they reasonably believe violates these Terms or applicable law.

We may investigate reports and take proportionate measures including:

Removing or restricting content.
Issuing warnings.
Restricting specific functionality.
Suspending campaigns.
Adjusting fraudulent credits.
Temporarily suspending an account.
Terminating an account in serious cases.

Where required by applicable law, we will provide affected users with information concerning content-moderation decisions and available methods of redress.

Illegal content or other legal notices may be submitted through the contact or reporting mechanisms provided on Winkiloo.

24. Suspension and Termination by Winkiloo

We may suspend or terminate access to all or part of the Service where reasonably necessary because:

You materially or repeatedly violate these Terms.
We reasonably identify fraud, abuse or security risk.
Your use creates material legal or technical risk.
Payment remains overdue after applicable notice.
We are required to act by law, court order or competent authority.
Continued access threatens users, third parties or the Service.

Where appropriate and legally required, we will give notice and explain the reason for the restriction or termination.

Immediate action may be taken where reasonably necessary to prevent fraud, security incidents, unlawful activity or serious harm.

25. Closing Your Account

You may request deletion of your Winkiloo account through the account settings where available or by contacting us.

Account deletion may remove or anonymise associated content and data, subject to legitimate retention requirements described in our Privacy Policy.

Closing your account does not automatically eliminate outstanding payment obligations that arose before closure.

26. Intellectual Property

Winkiloo and its software, design, branding, logos, databases, interfaces, text, graphics and other proprietary material are protected by intellectual property laws.

Except for rights expressly granted under these Terms, no ownership right in Winkiloo intellectual property is transferred to you.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for its intended purpose.

This licence does not permit you to copy, resell, sublicense or commercially exploit Winkiloo itself except with our written permission.

27. Copyright and Intellectual Property Complaints

If you believe content available through Winkiloo infringes your copyright, trademark or other intellectual property rights, please contact:

Please provide sufficient information to identify:

The protected work or right.
The allegedly infringing content.
The location of that content on Winkiloo.
Your contact information.
The basis on which you claim the relevant right.
Any other information reasonably necessary to assess the request.

28. Third-Party Services and Links

Winkiloo may integrate with or contain links to third-party websites or services, including YouTube, Google, payment providers and AI providers.

Third-party services are governed by their own terms, privacy policies and technical conditions.

Winkiloo does not control third-party services and cannot guarantee their continued availability, functionality, accuracy or compatibility.

We may need to modify or discontinue functionality if a third-party provider changes or withdraws an API, service, permission or technical capability.

29. Privacy and Data Protection

Our processing of personal data is described in our Privacy Policy.

Our use of cookies and similar technologies is described in our Cookie Policy.

These documents form an important part of your relationship with Winkiloo and should be read together with these Terms.

30. Service Availability

We aim to provide a reliable Service, but continuous or uninterrupted availability cannot be guaranteed.

The Service may occasionally be unavailable because of:

Maintenance.
Security updates.
Software deployment.
Infrastructure failures.
Third-party API outages.
Internet or hosting failures.
Events outside our reasonable control.

Where reasonably possible, we will seek to minimise material disruptions.

Mandatory consumer rights relating to conformity and availability of digital services remain unaffected.

31. Changes to the Service

Winkiloo may develop, modify, improve, replace or discontinue features as the Service evolves.

Reasons may include security, legal requirements, technical developments, user needs, third-party API changes or improvement of the Service.

Where a change materially and negatively affects an ongoing paid consumer contract, we will comply with applicable requirements concerning notice, valid grounds for modification and termination rights.

32. Beta and Experimental Features

Certain functionality may be labelled beta, experimental, preview or similar.

Such features may be less reliable, may change substantially and may be discontinued.

You should not rely on experimental functionality for critical business operations unless Winkiloo expressly states otherwise.

33. No Guarantee of Creator Results

Creator growth depends on many factors outside Winkiloo's control.

Winkiloo does not guarantee:

A particular number of views.
Subscribers or followers.
Watch time.
Revenue or profit.
YouTube Partner Program eligibility.
Monetisation approval.
Search rankings.
Recommendation or algorithm placement.
Campaign performance.
Audience growth.
Sponsorships or collaborations.

Analytics and recommendations are intended to assist your decision-making, not replace your own judgement.

34. Statutory Rights and Warranty

Nothing in these Terms excludes or limits mandatory rights that cannot legally be excluded.

In particular, consumers retain applicable statutory rights regarding digital products and digital services, including rights relating to conformity, defects, remedies, updates and termination where applicable.

35. Liability

Winkiloo's liability is unlimited where liability results from:

Intentional misconduct.
Gross negligence.
Injury to life, body or health.
A guarantee expressly assumed by Winkiloo.
Mandatory product-liability law.
Any other liability that cannot legally be limited or excluded.

In cases of ordinary negligence, Winkiloo is liable for breach of an essential contractual obligation whose performance is necessary for proper performance of the contract and on whose performance the user may normally rely. In such cases, liability is limited, where legally permissible, to damage that was reasonably foreseeable and typical for the contract.

Subject to the above, Winkiloo is not liable for losses caused solely by:

User misuse of the Service.
User violations of YouTube or other third-party policies.
Independent decisions made by YouTube, Google or another third party.
Incorrect information supplied by a user.
AI output used without appropriate review.
Third-party content outside Winkiloo's reasonable control.

Mandatory statutory rights remain unaffected.

36. Responsibility of Business Users

If you use Winkiloo primarily for commercial or professional purposes, you are responsible for complying with laws and contractual obligations applicable to your business activities.

To the extent permitted by law, business users are responsible for losses or third-party claims caused by their unlawful use of the Service, infringement of third-party rights, or material breach of these Terms.

37. Force Majeure

Neither party is responsible for failure or delay caused by circumstances beyond its reasonable control to the extent recognised by applicable law.

Such events may include severe infrastructure failures, natural disasters, war, governmental action, widespread internet outages, cyberattacks, labour disruptions or failures of critical third-party infrastructure.

38. Changes to These Terms

We may update these Terms where reasonably necessary because of changes to the Service, applicable law, security requirements, third-party services or business processes.

Material changes affecting existing contractual relationships will be communicated in accordance with applicable law.

Where required, we will provide advance notice and an opportunity to terminate the affected contract.

Changes will not retroactively remove rights that have already arisen unless permitted by law.

39. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods where its exclusion is legally permissible.

If you are a consumer, this choice of law does not deprive you of mandatory consumer protections that apply under the law of the country in which you have your habitual residence.

40. Jurisdiction

For consumers, the legally applicable rules concerning jurisdiction apply.

Where the user is a merchant, legal entity under public law or special fund under public law and an agreement on jurisdiction is legally permissible, the courts at Winkiloo's registered place of business shall have jurisdiction.

41. Consumer Dispute Resolution

This section must be completed in accordance with the operator's obligations and participation status under the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz – VSBG).

42. Severability

If an individual provision of these Terms is invalid or unenforceable, the remaining provisions remain unaffected to the extent permitted by law.

The invalid provision will be replaced by the applicable statutory rule rather than by an interpretation that unlawfully disadvantages the user.

43. No Waiver

Failure to enforce a provision of these Terms on one occasion does not constitute a permanent waiver of that provision or any other right.

44. Entire Agreement

These Terms, together with the Privacy Policy, applicable plan conditions, checkout information and any additional terms expressly applicable to a particular Winkiloo feature, form the contractual framework governing use of the Service.

45. Language

Winkiloo may make these Terms available in multiple languages.

The English version is maintained as the source version for translation purposes. Nothing in this provision limits rights arising from mandatory consumer-protection law or requirements concerning contractual transparency in the user's applicable language.
